Chapter 7

Non-compete & non-solicitation

This Agreement is between the applicant (“You”) and Team Green Taxes Contracting entity to confirm (“Company”). It becomes effective on the date signed.

1. Term of AgreementApplies during employment and for one year afterward. Term to confirm

This Agreement is effective on the Effective Date and remains in effect throughout your employment with the Company and for one (1) year thereafter.

2. LimitationsThis is not an employment contract.

Neither You nor the Company is obligated to any specific term of employment. This Agreement is limited to the covenants not to compete or solicit described here.

3. Covenant not to competeNo competing work during employment or within 100 miles for one year afterward. Limit to confirm

During employment, You will not engage in business activity competitive with the Company or work for a competing company. For one (1) year immediately after termination, You will not, for yourself or another person or business, engage in business activity that competes with the Company within 100 miles of the facility where You were employed.

4. Non-solicitation of workersDo not recruit Company employees or contractors for one year afterward.

During employment and for one (1) year immediately afterward, You will not solicit a Company employee or independent contractor on behalf of another business, or induce them to terminate or breach their relationship with the Company.

5. Customers after terminationDo not disclose, call on, or take Company customers for two years. Term to confirm

For two (2) years after termination, You will not directly or indirectly disclose to another person or business the names, addresses, or other information concerning Company customers or clients. You will not call on, solicit, take away, or attempt to call on, solicit, or take away a Company customer You met through your employment.

6. Injunctive reliefThe Company may seek a court order in addition to monetary remedies.

You acknowledge that a breach may cause irreparable harm and that money damages alone may be inadequate. The Company may seek injunctive relief, in addition to other remedies at law or equity.

7. Severable provisionsAn unenforceable part does not cancel the rest.

If any provision is determined illegal or unenforceable, in whole or part, the remaining provisions and enforceable portions remain binding.

8. ModificationsChanges must be written and signed by both parties.

This Agreement may be modified only in a writing executed by both You and the Company.

9. Prior understandingsThis replaces earlier discussions on this subject.

This Agreement contains the entire agreement between the parties regarding its subject matter and supersedes prior understandings, agreements, or representations.

10. WaiverA waiver must be written and applies only to that instance.

A waiver of default must be in writing and does not waive another default. Delay or omission in exercising a right does not impair that right or act as a waiver.

11. Jurisdiction & venueSource packet names Florida and Seminole County. Venue to confirm

This Agreement is to be construed under Florida law. You agree to jurisdiction and venue in a court of competent jurisdiction in Seminole County, Florida, without regard to conflict-of-laws rules. Team Green Taxes operates across multiple states; the owner and counsel must confirm the correct law and venue before use.
